Terms of Use
TERMS OF USE FOR GLOBAL LOGISTICS NETWORK
As a condition of your use of the Global Logistics Network operated by Descartes (the "GLN") via your web browser, you agree that you will not use the GLN, or any information obtained from the GLN, for any purpose that is unlawful or prohibited by any other agreement that you may have with Descartes, including among other things, the provisions of these Terms of User. You shall abide by all applicable local, state, national and international laws and regulations. You shall be solely responsible and liable for maintaining the confidentiality of any account name and/or password(s) that may be issued to you by Descartes in connection with your use of the GLN. You shall not and shall not assist or permit others in (a) using the GLN to; or (b) conduct any activities, which directly or indirectly results in any of the following:
- Defame, abuse, harass, stalk, threaten or otherwise violate or infringe the legal rights (such as rights of privacy, publicity, ownership and intellectual property) of others or Descartes;
- Publish, ship, distribute or disseminate any harmful, inappropriate, profane, vulgar, infringing, obscene, false, fraudulent, tortious, indecent, unlawful, immoral or otherwise objectionable material or information (including without limitation any unsolicited commercial communications);
- Publish, ship, distribute or disseminate material or information that encourages conduct that could constitute a criminal offense or give rise to civil liability;
- Engage in any conduct that could constitute a criminal offense or give rise to civil liability for Descartes;
- Misrepresent or in any other way falsely identify your individual identity or affiliation with any employer or entity on behalf of whom you may be performing services, including without limitation through impersonation or altering any technical information in communications with Descartes or others arising out of use of the GLN;
- Transmit or upload any material to the GLN that contains viruses, trojan horses, worms, time bombs, cancelbots, or any other programs with the intent or effect of damaging, destroying, disrupting or otherwise impairing any function of the GLN;
- Interfere with or disrupt the GLN, networks or servers connected to the GLN or violate the regulations, policies or procedures of such networks or servers, including without limitation altering the appearance of the GLN user interfaces or altering any of the information submitted to internet authorities for proper access to the GLN from the internet;
- Attempt to gain unauthorized access to the GLN, any software made available by Descartes through the GLN, other accounts, computer systems or networks connected to the GLN, through password mining or any other means;
- Interfere with another party’s use of the GLN or another individual's or entity's use of similar service;
- Violate any Descartes security technologies, procedures or policies; or
- Attempt to probe, scan, or test the vulnerability of the GLN or any networks or servers connected to the GLN.
Descartes reserves the right (but has no obligation) at all times to monitor, review, retain and/or disclose any information relating to use of the GLN as necessary to satisfy or cooperate with any applicable law, regulation, legal process or governmental request. You shall immediately notify Descartes of any unauthorized use of any account or password issued to you in connection with the GLN or any known breach of your agreements with Descartes, including without limitation these Terms of Use.
These Terms of Use may be amended by Descartes from time to time and your continued use of the GLN shall be subject to the terms and conditions of the then applicable Terms of Use. Descartes shall have no obligation to notify you of any change in Terms of Use other than maintaining the link from the GLN to the updated version of these Terms of Use and reflecting a change in the version number on the then applicable Terms of Use.
